GENERAL TERMS AND CONDITIONS FOR CONSIGNMENT SALES – LE DRESSING CLUB

1. PURPOSE

These General Terms and Conditions define the terms and conditions governing the consignment, sale and return of items entrusted by the Consignor to the Consignee, Le Dressing Club (hereinafter the “Consignee”), under a consignment agreement governed by Articles 1915 et seq. of the French Civil Code.

2. CONSIGNMENT OF ITEMS

1. The items entrusted must be clean, in good condition and authentic.

2. The Consignee reserves the right to refuse any item that does not meet its criteria or that presents undisclosed defects.

3. Any price estimate provided prior to the physical inspection of the item is for guidance purposes only and shall not be binding on the Consignee.

3. SALES MANDATE AND COMMISSION

1. The Consignor grants the Consignee an exclusive sales mandate for the entrusted items.

2. The Consignee is entitled to receive a 50% commission on the final sale price.

3. The mandate is strictly limited to the sale of the items listed in the agreement, for the duration specified in Article 4.

4. TERM AND TERMINATION

1. The agreement is entered into for an initial term of 12 months from the date of signature.

2. Early termination by the Consignor:

   • A fixed cancellation fee of 10% of the public sale price per item will be charged.

   • This provision is intended to cover costs incurred by the Consignee.

3. Termination by the Consignee:

   • In the event of financial difficulties, force majeure or any other legitimate reason, the Consignee may terminate the agreement and return the items at no cost to the Consignor.

4. The Consignee has a 7-day period from the date of consignment to notify the Consignor of any defect that was not disclosed by the Consignor.

5. At the end of the initial term, the agreement may be extended by mutual agreement if the item has not been sold.

5. SALE PRICE

1. The Consignee determines the sale price of the items based on their condition, brand and prevailing market conditions.

2. If an item remains unsold after the initial term, the Consignee will contact the Consignor to discuss a possible price adjustment.

6. PAYMENT TO THE CONSIGNOR

1. The amount due to the Consignor will be paid after the Consignee has received the full sale price from the purchaser.

2. Payment will be made no later than three months after the sale, to the bank account provided by the Consignor.

3. The Consignee will notify the Consignor by email when an item has been sold.

7. RETURN OF ITEMS

1. Unsold items will be returned by appointment only, from Tuesday to Friday, between 9:00 a.m. and 7:30 p.m., subject to the Consignee’s schedule.

2. Items will be returned to the original consignment location, unless otherwise agreed between the Parties.

8. OWNERSHIP AND LIABILITY

1. The items remain the exclusive property of the Consignor until full payment has been made by the purchaser, in accordance with Article 1915 of the French Civil Code.

2. The items may not be seized by the Consignee’s creditors, including in the event of judicial reorganisation or liquidation proceedings.

3. The Consignee is under an obligation to take reasonable care of and properly safeguard the items.

4. The Consignee shall not be held liable for damage resulting from:

   • Force majeure (fire, flood, theft, natural disaster, etc.);

   • Negligence or actions by third parties beyond the Consignee’s control.

9. CONSIGNOR’S OBLIGATIONS

1. To disclose any known defect or damage at the time the item is consigned.

2. To provide all information necessary for the authentication and sale of the items.

3. To keep their contact details up to date for all communications relating to the agreement.

10. AMENDMENTS

The Consignee reserves the right to amend these General Terms and Conditions.

The applicable terms shall be those in force on the date the consignment agreement is signed.
